Terms & Conditions

1. Who we are
Sparksocial is a UGC, creative and video ads agency. We make ads for e-commerce brands in the UAE, Saudi Arabia and the wider GCC.
The website www.sparksocial.ae and our services are run by Sparksocial LLC-FZ, Meydan Free Zone, Nad Al Sheba, Floor 6, Dubai, UAE. In these terms, "we", "us" and "our" mean Sparksocial. "You" means the person or business using our website or services. "Client" means a business that buys our services.
Questions? Email info@sparksocial.ae.
2. Accepting these terms
By using our website, booking a call, applying as a creator, or buying our services, you agree to these terms.
If you buy our services for a business, you confirm you have authority to agree for that business. Our services are for businesses, not for personal or household use.
3. Your quotation and invoice come first
Every Client gets a quotation and an invoice. Together, they set out the solution you chose (for example UGC Signature, UGC Viral Challenges or UGC Mega), its features, add-ons, deliverables, timeline, usage rights and price. We call them "your quotation and invoice".
These terms cover everything else. If your quotation and invoice, or a signed contract, say something different from these terms, the quotation and invoice (or signed contract) win.
You accept a quotation by approving it in writing (email or WhatsApp is fine), signing it, or paying the invoice. Electronic approvals and signatures are valid, as UAE law allows.
4. Using our website
You may use the website to learn about us, view our portfolio, book a call and apply as a creator. Please don't:
- copy, download or reuse our videos, portfolio, text or design without our written permission;
- use the site for anything illegal, misleading or harmful;
- try to hack, overload, scrape or disrupt the site;
- send false information through our forms.
The portfolio shows work made for our clients. The brands and creators in it keep their own rights. Showing them is not an endorsement of you, and you can't reuse them.
We work to keep the site accurate and available, but we don't promise it will always be error-free or online. Links to other sites (such as Instagram or LinkedIn) are for convenience; we don't control them.
5. Our services
We plan, script, cast, direct, edit and deliver UGC, static and animated ads, AI video and related creative. Depending on your quotation and invoice, we may also run whitelisting (running a creator's post as your ad) and manage your Meta ads.
We work in sprints. The number of sprints, videos, variations, creators and the timeline are set in your quotation and invoice.
We use our own team, our vetted creator network and trusted tools and suppliers. We choose the creators that fit your brief, unless your quotation and invoice say you choose.
6. What we need from you
Good ads need good input. As a Client, you agree to:
- Give a clear brief and the brand details we ask for, on time.
- Send product samples to us or to the creators, at your cost, when the work needs them. Unless agreed otherwise, samples sent to creators are not returned.
- Review and give feedback on time. If we don't hear back within 5 working days of sending something for review, we may treat it as approved so the work can keep moving.
- Make sure your claims are true. You are responsible for all product claims, prices, offers and information you give us or approve (for example health, skincare, supplement or "before and after" claims). You must have proof for them and any approvals the law needs (for example from health authorities).
- Own or have rights to the logos, music, images and materials you send us.
- Follow the rules where you run the ads. You are responsible for how and where the ads are published, including platform ad policies, ad disclosure ("Ad" or "Paid partnership" labels) and UAE, Saudi and other local advertising laws.
If you are late with any of this, deadlines move and we may charge for extra time, as set out in your quotation and invoice.
7. Creative process, revisions and approvals
- Strategy and scripts. We share the concept and scripts for your approval before filming.
- Production. Creators film to the approved script and our direction.
- Edit and delivery. We edit and send the ads for review.
Your quotation and invoice set how many revision rounds are included. A revision means changes within the approved brief and script, such as edits, captions, cuts, hooks or music. Changes to the brief, script, product or creator after approval, or a re-shoot not caused by us, count as new work and may cost extra.
Once you approve a script or final ad, it is final. We are not responsible for mistakes in content you approved.
Creators are real people. Their style, voice and look vary, and we can't promise an exact result. If a creator can't deliver, we will replace them at no extra cost.
8. Fees, invoices and VAT
- Price: as set out in your quotation and invoice, in UAE dirhams (AED) unless stated otherwise.
- Payment upfront: each sprint is paid 100% upfront, as set out in your quotation and invoice. Work starts once we receive payment.
- VAT: prices are subject to UAE VAT where applicable.
- Bank charges: you pay your own bank and transfer fees, so we receive the full amount.
- Extra costs: costs outside the quotation and invoice (for example extra usage rights, extra creators, travel or paid ad spend) need your approval first.
- Late payment: if you pay late, we may pause work and hold back delivery until you pay.
- Ad spend: if we manage your ads, ad spend is paid by you directly to the platform, or separately, as set out in your quotation and invoice. It is not part of our fee unless stated.
9. Refunds and switching solutions
- No refunds. Once you have agreed to a sprint and paid for it, fees are not refundable.
- Switching solutions. You may switch to a different solution (for example from UGC Signature to UGC Viral Challenges) before the sprint's work starts, or at another time we agree with you. Any price difference is handled through an updated quotation and invoice.
- Future sprints. For monthly or multi-sprint plans, you can stop future sprints with 30 days' written notice. Sprints already paid for are not refunded.
- If we cancel without good reason, we will refund any fees for work we have not delivered.
Nothing in these terms takes away rights that you can't give up under UAE law.
10. Who owns the videos and how you can use them
You own your videos. Once you pay in full, you own the final videos we deliver to you. You can use them as videos wherever you want, organically: on your social media, your website, or anywhere else.
Before full payment. Until we receive full payment, you may not publish or run the videos.
Paid ads usage. Most of our solutions and creators include unlimited, permanent paid ad usage. Some solutions and some creators come with limited paid usage, for example a set period, certain platforms, or a set whitelisting period. Any limits are stated in your quotation and invoice, and you agree to respect them. Want to extend a limit? Ask us. It may cost extra.
Whitelisting. Running ads from a creator's own account (such as TikTok Spark Ads or Meta Partnership Ads) needs the creator's permission and lasts for the period in your quotation and invoice.
Respecting creators. You may not use a creator's face, voice or name to make new content, or edit the videos with AI or deepfakes to change what they say or do, without their consent.
Your materials. You keep ownership of your brand, logos, products and materials. You give us permission to use them only to make your videos.
Our portfolio. We may show the videos we make for you in our portfolio, website and social media, unless you ask us not to in writing or we have signed an NDA with you. Unless your invoice says otherwise, you receive the final edited videos; raw footage and project files are not included.
11. Working with creators
Creators who join through our "Join as creator" page are independent. They are not our employees, and they are not your employees. Creators must be 18 or older.
We pay our creators. We pay creators for their work. We never ask them to work for free products only or in exchange for barter.
Joining our network. We hold discovery calls or interviews with creators to see if they're a good fit. It is our choice, at our discretion, whether to admit a creator into our network, assign them to a project, or remove them from the network.
What we expect from creators:
- follow the brief and the approved script;
- deliver on time and to the agreed quality;
- use original content only;
- join calls, reshoots or revisions as agreed;
- keep client and project information confidential;
- not post or share client content unless the project says so;
- follow platform rules and UAE advertising law, including holding a UAE Media Council advertiser permit where needed and labelling ads clearly;
- tell us about any conflicts of interest, such as work with a competing brand;
- be honest about the product and never make false claims;
- sign our separate creator agreement.
The creator agreement covers pay, deliverables, rights and conduct. If it differs from these terms, the creator agreement applies to the creator.
Clients agree not to contact our creators directly to hire them for similar work without going through us, during the project and for 6 months after it ends, unless we agree in writing.
12. No guaranteed results
We make ads designed to perform, and we use data from each sprint to improve the next one. But results such as ROAS, CPA, views, sales or followers depend on many things we don't control: your product, price, offer, website, budget, targeting and the platforms themselves.
So we do not guarantee any specific results. Past results and examples on our site do not promise future results.
13. Third-party platforms
Ads run on platforms we don't own, such as Meta (Facebook and Instagram), TikTok, Snapchat, Google and YouTube. Each has its own terms and ad policies, and they can change, reject ads or limit accounts at any time.
We follow platform rules when we make ads, but we are not responsible for platform decisions, outages, policy changes or account bans. If an ad is rejected for a reason we caused, we will fix it at no extra cost.
14. Confidentiality
We both agree to keep the other's private business information confidential, such as unreleased products, prices, ad results and strategies. We will only use it for the project and share it only with people who need it (for example our team and creators, who are bound to keep it confidential).
This doesn't apply to information that is already public, or that the law or a court requires us to share. If you need a separate NDA, just ask.
15. Limits on our liability
We work carefully, but some things are out of our hands. To the extent UAE law allows:
- We are not liable for indirect losses, such as lost profits, lost sales, lost data or damage to reputation.
- We are not liable for claims in content you supplied or approved, or for how and where you publish the ads.
- Our total liability for any claim linked to a project is limited to the fees you paid us for that project in the 3 months before the claim.
Nothing in these terms limits liability that can't be limited by law, such as for fraud or wilful misconduct.
16. Indemnity
You agree to cover our losses and costs (including reasonable legal costs) if a third party or authority makes a claim against us because of:
- product claims, information or materials you gave us or approved;
- your use of the videos outside the paid usage limits in your quotation and invoice; or
- your breach of these terms or of the law.
17. Ending our work together
Either side can end the work by written notice if the other seriously breaks these terms (or the quotation and invoice) and doesn't fix it within 14 days of being told.
We may also pause or end the work straight away if you don't pay on time, if your product or claims are illegal or unsafe, or if continuing would break the law or platform rules.
When the work ends, you pay for all work done and costs incurred up to that date. You own the final videos you have paid for in full, and any paid usage limits in your quotation and invoice still apply. Sections on ownership, confidentiality, liability, indemnity and disputes keep applying.
18. Events outside our control
Neither side is responsible for delays or failures caused by events outside reasonable control, such as natural disasters, war, government action, internet or platform outages, or serious illness of a creator. We will tell you quickly and agree a new timeline. If the delay lasts more than 30 days, either side may cancel the affected work, and you pay only for work done.
19. Privacy and cookies
We handle personal data in line with UAE and Saudi data protection laws. See our Privacy Policy and Cookie Policy. You can manage tracking at any time with the "Cookie settings" link at the bottom of every page.
If you give us personal data about others (for example your customers or team), you confirm you are allowed to share it.
20. Changes to these terms
We may update these terms from time to time. We will change the "Last updated" date at the top. The terms that apply to a project are the ones in place when you accepted its quotation and invoice, unless we both agree otherwise.
21. Governing law and disputes
These terms are governed by the laws of the United Arab Emirates as applied in the Emirate of Dubai.
If there's a problem, let's talk first. Email us and we will try to solve it in good faith within 30 days. If we can't, the courts of Dubai will decide.
If any part of these terms can't be enforced, the rest still applies. If we don't enforce a right straight away, we don't give it up. These terms may be translated into Arabic; if the versions differ, the English version applies.
